Legal terms and conditions for OSES security services

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and OSES Management Group, LLC ("OSES," "we," "us," or "our") governing your use of our security services, website, client portal, and related offerings.

By engaging our services, accessing our website, or entering into a service agreement with OSES, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not use our services.

1. Acceptance of Terms

These Terms apply to all clients, website visitors, portal users, and any party engaging with OSES services. By using our services, you represent that:

  • You are at least 18 years of age or the age of majority in your jurisdiction
  • You have the legal authority to enter into binding contracts
  • You are not prohibited by law from receiving our services
  • All information you provide is accurate, current, and complete
  • You will comply with all applicable local, state, and federal laws

2. Services Provided

OSES provides comprehensive security and event management services, including but not limited to:

  • Physical Security Services: Licensed security officers, mobile patrols, access control, and asset protection
  • Crowd Management: Event security, crowd control, queue management, and emergency response
  • Parking Management: Valet services, parking enforcement, traffic control, and lot security
  • School & University Security: Campus security, active shooter prevention, 24/7 operations centers
  • Executive Protection: Close protection, secure transportation, threat assessment
  • K-9 Services: Explosives detection, narcotics detection, patrol services
  • Cybersecurity: Threat monitoring, vulnerability assessments, incident response
  • Risk Management: Threat assessments, business continuity planning, security consulting

Specific services, deployment details, and pricing are outlined in individual Service Agreements executed between OSES and the Client.

3. Service Agreements and Contracts

All security services require a written Service Agreement that specifies:

  • Scope of services and deployment locations
  • Number of security personnel and equipment
  • Service duration, dates, and hours of operation
  • Pricing, payment terms, and billing schedule
  • Insurance requirements and liability provisions
  • Termination conditions and notice periods
  • Special instructions, protocols, or client requirements

Service Agreements supersede these general Terms where there is a conflict. All Service Agreements must be signed by authorized representatives of both parties.

4. Client Responsibilities

Clients agree to:

  • Accurate Information: Provide complete and accurate information about security needs, venue details, and potential threats
  • Site Access: Grant OSES personnel timely access to all areas requiring security services
  • Cooperation: Cooperate fully with OSES security personnel and follow recommended security protocols
  • Payment: Make all payments according to the agreed schedule and terms
  • Notification: Promptly notify OSES of any changes to service requirements, venue conditions, or security concerns
  • Compliance: Ensure your facility, event, or operations comply with all applicable laws and regulations
  • Insurance: Maintain appropriate insurance coverage as specified in the Service Agreement
  • Background Information: Provide necessary information for background checks and security clearances when required

5. Payment Terms and Billing

Pricing and Invoicing

  • All pricing is specified in the Service Agreement and is subject to change with 30 days' written notice
  • Invoices are issued according to the billing schedule in the Service Agreement
  • Payment is due within the timeframe specified in the invoice (typically net 30 days)
  • Late payments may incur interest charges at the rate of 1.5% per month or the maximum allowed by law
  • Additional services requested beyond the scope of the agreement will be billed separately

Cancellation and Refunds

  • Event-based services: Cancellations must be made at least 72 hours prior to scheduled service; cancellations within 72 hours may incur a 50% cancellation fee
  • Ongoing services: Either party may terminate with 30 days' written notice unless otherwise specified
  • No refunds for services already rendered
  • Deposits are non-refundable except as required by law or stated in the Service Agreement

6. Security Personnel and Operations

Personnel Standards

All OSES security personnel:

  • Hold valid state-required security licenses and certifications
  • Undergo comprehensive background checks
  • Receive ongoing training in security protocols, emergency response, and customer service
  • Are covered by OSES insurance policies during service hours

Authority and Limitations

OSES security personnel operate within the scope of authority granted by law and the Service Agreement. Security officers are authorized to observe, report, deter, and respond to security incidents but are not law enforcement officers. In situations requiring law enforcement intervention, OSES will contact appropriate authorities.

7. Limitation of Liability

Service Limitations

While OSES employs industry best practices and highly trained personnel, we cannot guarantee prevention of all security incidents, theft, injury, or property damage. Security services are designed to deter, detect, and respond to threats but cannot eliminate all risks.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • OSES's liability for any claim arising from our services shall not exceed the total amount paid by the Client for services during the 12 months preceding the claim
  • OSES is not liable for indirect, incidental, consequential, special, or punitive damages
  • OSES is not responsible for losses resulting from acts of God, terrorism, civil unrest, or circumstances beyond our reasonable control
  • Claims must be brought within one year of the incident giving rise to the claim

Insurance

OSES maintains comprehensive general liability insurance, professional liability insurance, and workers' compensation insurance as required by law. Certificate of Insurance can be provided upon request.

8. Indemnification

Client agrees to indemnify, defend, and hold harmless OSES, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Client's breach of these Terms or any Service Agreement
  • Client's violation of any law or regulation
  • Client's negligence or willful misconduct
  • Unsafe conditions at Client's facility or event that were not disclosed to OSES
  • Actions of Client's employees, contractors, or guests not under OSES's control

9. Intellectual Property Rights

All content on the OSES website, including logos, trademarks, text, graphics, images, software, and documentation ("OSES Content"), is the exclusive property of OSES Management Group and is protected by copyright, trademark, and other intellectual property laws.

Clients may not:

  • Reproduce, distribute, modify, or create derivative works of OSES Content without written permission
  • Use OSES logos, trademarks, or branding without prior written authorization
  • Remove copyright notices or proprietary markings from any OSES materials
  • Reverse engineer, decompile, or disassemble any OSES software or technology

10. Confidentiality and Non-Disclosure

OSES and Client acknowledge that during the course of the service relationship, each party may have access to confidential information. Both parties agree to:

  • Maintain strict confidentiality of all proprietary information, security protocols, and sensitive data
  • Use confidential information solely for the purpose of fulfilling the Service Agreement
  • Not disclose confidential information to third parties without written consent
  • Return or destroy confidential information upon termination of the agreement

OSES security reports, incident documentation, and operational protocols are considered confidential and proprietary to OSES.

11. Dispute Resolution and Governing Law

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any legal action arising from these Terms or our services must be brought in the state or federal courts located in Miami-Dade County, Florida.

Dispute Resolution Process

In the event of a dispute:

  1. Negotiation: Parties will first attempt to resolve disputes through good-faith negotiation
  2. Mediation: If negotiation fails, parties agree to participate in mediation with a mutually agreed-upon mediator
  3. Arbitration: If mediation is unsuccessful, disputes will be resolved through binding arbitration under the rules of the American Arbitration Association
  4. Litigation: Only after exhausting the above steps may either party pursue litigation

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

12. Website and Client Portal Use

When using the OSES website or client portal, you agree to:

  • Maintain the confidentiality of your login credentials
  • Notify OSES immediately of any unauthorized access to your account
  • Not share your account with third parties
  • Not use the website for any unlawful purpose or to transmit malicious code
  • Not attempt to gain unauthorized access to any systems or networks
  • Not interfere with the proper functioning of the website or services

OSES reserves the right to suspend or terminate accounts that violate these Terms or engage in prohibited activities.

13. Warranties and Disclaimers

OSES Warranties

OSES warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. All security personnel will hold required licenses and certifications.

Disclaimers

EXCEPT AS EXPRESSLY PROVIDED IN THE SERVICE AGREEMENT:

  • Services are provided "as is" and "as available" without warranties of any kind
  • OSES disclaims all implied warranties, including merchantability and fitness for a particular purpose
  • OSES does not warrant that services will be uninterrupted, error-free, or completely secure
  • OSES does not guarantee specific outcomes or results from security services

14. Force Majeure

Neither party shall be liable for failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, government actions, pandemics, or utility failures. In such events, OSES will make reasonable efforts to provide alternative arrangements or notify the Client promptly.

15. Severability and Waiver

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Failure by OSES to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

16. Changes to These Terms

OSES reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website with a new "Last Updated" date. Continued use of our services after changes become effective constitutes acceptance of the revised Terms. For existing Service Agreements, material changes will not apply retroactively without Client consent.

17. Entire Agreement

These Terms, together with any applicable Service Agreement and Privacy Policy, constitute the entire agreement between you and OSES regarding our services and supersede all prior agreements, communications, and understandings, whether written or oral.

ACKNOWLEDGMENT: By engaging OSES services, accessing our website, or using our client portal, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
